Terms of Service

These Terms of Service govern your use of the Adenola Group website and engagement with our services. By using our platform or retaining our services, you acknowledge that you have read, understood, and agree to be bound by these terms.
1. Acceptance of Terms
By accessing our website, submitting an inquiry, or engaging Adenola Group for services, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services. These terms apply to all visitors, clients, and users of our platforms.
2. Services Description
Adenola Group provides strategic business consulting, management, marketing, digital content, operations support, and commerce solutions. The specific scope, deliverables, and timeline for each engagement are defined in a separate proposal or service agreement signed between Adenola Group and the client.
3. Client Responsibilities
Clients agree to: provide accurate and complete information necessary for service delivery; respond to requests for information in a reasonable timeframe; designate a primary point of contact for the engagement; and comply with all applicable laws related to their own business operations. Delays caused by incomplete or inaccurate information provided by the client may affect deliverable timelines.
4. Payment Terms
Fees for services are invoiced separately per engagement or as outlined in the executed service agreement. Unless otherwise specified, invoices are payable within 30 days of receipt (net-30). Late payments may be subject to a 1.5% monthly finance charge. Adenola Group reserves the right to suspend services for accounts with outstanding balances exceeding 30 days past due.
5. Intellectual Property
All strategies, frameworks, templates, methodologies, and work product developed by Adenola Group remain the intellectual property of Adenola Group unless explicitly transferred in writing. Upon full payment of applicable fees, clients receive a non-exclusive license to use deliverables for their internal business purposes. Client-provided materials, data, and brand assets remain the property of the client.
6. Confidentiality
Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the engagement. Adenola Group will not disclose client business information, financial data, or strategic plans to third parties without prior written consent, except as required by law. This obligation survives termination of the engagement.
7. Limitation of Liability
Adenola Group provides services on a best-efforts basis. We do not guarantee specific business outcomes, revenue targets, or market results, as these depend on factors outside our control. To the fullest extent permitted by law, Adenola Group's total liability for any claim arising from services shall not exceed the total fees paid by the client in the three months preceding the claim.
8. Termination
Either party may terminate a service engagement with 30 days written notice. Upon termination, the client is responsible for fees for all work completed up to the termination date. Adenola Group will provide all completed deliverables upon receipt of final payment.
9. Dispute Resolution
Any disputes arising from these Terms or related service agreements shall first be addressed through good-faith negotiation between the parties. If unresolved within 30 days, disputes shall be submitted to binding arbitration in Louisiana, United States, under applicable state law. Both parties waive the right to a jury trial for disputes arising under these Terms.
10. Changes to Terms
Adenola Group reserves the right to update these Terms of Service at any time. Material changes will be communicated via email or through the client portal. Continued use of our services after changes are posted constitutes acceptance of the revised terms.
